For whom
Freelancers and online businesses with foreign clients

Freelancers, agencies and online businesses with international clients often invoice through a US LLC, usually formed in Wyoming or New Mexico. The reasons are practical rather than fiscal: invoices in US dollars, access to US banks and payment processors, a legal form that clients abroad recognize, and a line between the business and your personal assets.

On the Paraguayan side, what decides the tax is where the work is done, not where the company is registered. Work you physically perform in Paraguay can count as Paraguayan-source income, even for clients abroad and even when the money arrives from abroad, and then falls under the personal income tax IRP at 8 to 10 percent. Routing the invoices through a US LLC does not change that. Income that genuinely comes from abroad, such as work done outside Paraguay or returns on assets held abroad, stays outside Paraguayan tax under the territorial principle.

The formation itself is handled by our US LLC partner, which specializes in LLCs for founders who do not live in the United States. Where it differs from a bare formation service is the first compliance year: the mandatory IRS filing that many first-year owners overlook is part of the price. We explain the package in the intro call; whether an LLC suits your situation is a question for a tax adviser before you form it.

What's included

  • Formation of the LLC in Wyoming, New Mexico or Florida, including the state filing fee
  • Registered agent (the legally required US address for official mail) for the first 12 months
  • EIN application, the US tax ID of your company, with the IRS
  • Operating agreement for a standard structure
  • Digital hand-over of all formation documents
  • The first mandatory IRS filing: Form 5472 with a pro forma Form 1120, where required
  • Help with opening a bank account and payment processors
  • A free intro call with us and a personal introduction to our partner

Process

  1. 1Free intro call with us: what the package includes, how the three states differ in price, and how the introduction works
  2. 2We introduce you to our partner, which walks you through the package, signs the contract with you directly and verifies your identity (KYC)
  3. 3Formation with the state: usually 2 to 5 business days once your details are complete
  4. 4EIN application with the IRS: usually 7 to 14 days after formation
  5. 5Hand-over of the documents and help with the bank account and payment processors
  6. 6In the first year: preparation and filing of the mandatory IRS return (Form 5472)

These timings are typical, not guaranteed. Formation depends on the state and its workload, the EIN on IRS processing times, which can run longer for founders without a US residence. Everything is done online; no trip to the United States is needed.

Who is this for?

For freelancers, consultants, agencies, creators, SaaS founders and online businesses with clients abroad who want to invoice in US dollars, bank in the US or run a location-independent business. If you will operate locally in Paraguay, look at a Paraguayan company instead. The package is built for owners who are not US persons: if you are a US citizen or green-card holder, speak to a US tax adviser before you form anything (see the note below).

Pricing

  • US LLC formation (Wyoming or New Mexico) (Ad)$1,000
  • US LLC formation (Florida)$1,100

The contract and the invoice are with our partner directly, payable in US dollars: $1,000 for Wyoming or New Mexico, $1,100 for Florida. That payment goes to the partner, not to us, so it is not part of our 50% deposit. For the introduction the partner pays us a commission that is already inside that price: booking through us costs you nothing more than booking with the partner directly. Not included: an ITIN, bookkeeping, the filings from the second year on, a physical address with mail handling, licenses, payroll, and individual tax or legal advice.

Prices in USD; no VAT is charged.

Our US LLC partner

Ad: we receive a commission from this partner for each formation booked through us. A US LLC specialist for founders without a US residence, working with you in English or Spanish.

Important note: Neither we nor our partner give tax or legal advice, and a US LLC guarantees no particular tax result: how your income is treated in Paraguay and in any other country depends on where you live, where you work, who your clients are and how the company is actually run, and that belongs with a tax adviser before you form it. An LLC that in effect only invoices a single former employer can be treated as disguised employment. Banks and payment processors decide on accounts themselves; approval is not guaranteed. US persons: citizens and green-card holders are taxed on worldwide income wherever they live, so Paraguayan residency does not remove US tax; a single-member LLC owned by a US person is normally disregarded, its profit lands on the owner's own return (including self-employment tax), and the foreign-owner Form 5472 included here is not the filing that applies to you.

FAQ

Should a Paraguay resident use a US LLC or a Paraguayan company?
It depends on what you need the company for. A US LLC earns its keep with invoices to international clients, US banking and payment processors. It is not a tax lever for work you perform in Paraguay: that work can count as Paraguayan-source income whichever company sends the invoice. If you serve clients in Paraguay or hire staff there, you need a local structure such as an EAS, SRL or SA anyway. Which option costs you less is something a tax adviser should calculate for your case.
Which state for a US LLC: Wyoming, New Mexico or Florida?
Wyoming and New Mexico are the usual choices for founders without a US residence and cost the same with our partner ($1,000). Florida costs $1,100. Which state fits your plans is a question for the partner and, on the tax side, for a tax adviser.
Do I have to travel to the United States to form a US LLC?
No. Formation, EIN and the hand-over of documents all run online. Our partner needs your complete details and an identity document for its identity check.
What is Form 5472, and why does it matter for a foreign-owned LLC?
An LLC with a foreign owner must report its transactions with that owner to the IRS every year on Form 5472, together with a pro forma Form 1120, even when no US tax is due. Missing the filing risks a penalty starting at $25,000. The first year is included in the formation price; from the second year on the filing is offered separately.
What does a US LLC cost from the second year on?
Running costs start in year two: the registered agent, an annual report with a fee depending on the state, and the yearly IRS filing. None of these are in the formation price. We give you the current follow-on prices before you commit, so you know the full cost.
Is a US bank account guaranteed with the LLC formation?
No. Our partner helps you apply to the banks and payment processors that suit your structure and profile, but each provider decides for itself whether to open an account.
Do I need an ITIN or a Social Security number to form a US LLC?
Not for the formation or the EIN. An ITIN, the personal US taxpayer number, is only needed in certain cases; it is not part of the package, and our partner offers it separately.
Is my US LLC income tax-free in Paraguay?
Not automatically. What counts is where the work is done: work you perform in Paraguay can count as Paraguayan-source income even when the clients are abroad and the LLC is in the US, and then IRP at 8 to 10 percent applies. Income that genuinely comes from abroad, for example work done outside Paraguay or dividends, interest and capital gains on assets held abroad, stays at 0% in principle. Neither we nor our partner guarantee a tax outcome; a tax adviser classifies your situation.
Is the US LLC formation package suitable for US citizens?
Probably not as it stands. The package is designed for owners who are not US persons, which is why its first compliance year is the foreign-owner Form 5472. As a US citizen or green-card holder you are taxed on worldwide income wherever you live, a single-member LLC you own is usually disregarded for US tax, and its profit goes on your own return. Talk to a US tax adviser before forming anything.
Do you earn anything from introducing a US LLC formation to your partner?
Yes. Our partner pays us a commission for every formation we introduce. It is already included in the $1,000 or $1,100 price, so going through us costs you nothing more than booking with the partner directly.
